Terms of Service

These Terms of Service ("Terms") govern the use of services provided by Heidi M. Higginbottom, operating as Heidi M. Higginbottom Consulting ("I," "me," or "my"). By booking a workshop, making an enquiry, or engaging my services, you agree to be bound by these Terms.

For bespoke consulting, facilitation, and Strategic Learning Partnership engagements, a separate project or service agreement will be provided prior to commencement of work. Where such an agreement exists, it takes precedence over these Terms in the event of any conflict.

1. Services provided

I offer strategic learning consultancy, workshop facilitation, capability and skill building, learning and development strategy, and meeting and retreat facilitation (collectively, the "Services"). Services may be delivered in person, virtually, or through other agreed formats.

Services fall into two categories:

  • Quick Win workshops — off-the-shelf, fixed-format sessions available for individual or group booking through my scheduling page.

  • Strategic Learning Partnership — bespoke consulting, design, and facilitation work contracted under a separate project agreement.

2. Booking and payment

Workshop bookings are made through my scheduling page. By completing a booking, you confirm that you have read and agree to these Terms.

Fees for Quick Win workshops are displayed at the time of booking. Payment is collected at the time of booking via the payment processor indicated on the scheduling page. All prices are in the currency stated and exclusive of any applicable local taxes, which remain your responsibility.

For bespoke engagements, payment terms are set out in the relevant project agreement. Where no project agreement is in place, invoices are due within 14 days of the invoice date. Payments not received within 14 days may result in delayed or suspended services.

I operate as a US-based sole proprietor and do not charge VAT. You are responsible for any withholding taxes or reporting obligations applicable in your jurisdiction.

3. Workshop scheduling and cancellation

Workshop sessions are scheduled as published on my booking page. I reserve the right to reschedule or consolidate workshop cohorts where minimum enrollment thresholds are not met, or due to illness, emergency, or circumstances beyond my reasonable control. Where rescheduling occurs, participants will be notified as early as possible and offered an alternative date or a full refund.

If you need to cancel or reschedule your booking:

  • Cancellations made more than 48 hours before the session: full refund or transfer to an alternative date.

  • Cancellations made with less than 48 hours notice: the full session fee may be charged.

  • Non-attendance without notice: no refund will be issued.

4. Client responsibilities

You agree to provide accurate, complete, and timely information as needed to facilitate the services we have agreed, including completing any intake forms or pre-work associated with your booking. You are responsible for ensuring that any team members you book on behalf of are aware of and able to attend the session at the scheduled time.

Where sessions involve group participation, you acknowledge that the quality and outcomes of facilitated work depend in part on the engagement and openness of participants.

5. Intellectual property

All intellectual property developed and provided by me as part of the Services — including but not limited to frameworks, methodologies, facilitation designs, workshop materials, slides, handouts, and templates — remains my exclusive property, whether created before, during, or after the engagement.

Upon full payment of applicable fees, I grant you a limited, non-exclusive, non-transferable license to use materials provided during the engagement solely for your own internal purposes. You may not reproduce, distribute, modify, resell, or use my materials to train, coach, or facilitate sessions for third parties without my prior written consent.

Where third-party tools or frameworks are used as part of the Services (such as licensed assessment instruments), your use of those materials is subject to the terms of the relevant third-party provider. I make no representations regarding ownership of third-party materials.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, sensitive, or personal information disclosed in the course of the engagement. This includes but is not limited to business strategies, team dynamics discussions, personal disclosures made during workshops or sessions, and assessment results. This obligation survives the conclusion of any engagement.

I may reference your name and the general nature of services provided (for example, "team development programme for a technology scale-up") for portfolio or marketing purposes, unless you object in writing. Any more specific reference to your organisation, participants, or outcomes requires your explicit written approval before publication.

7. No guarantee of results

The Services are designed to support learning, development, and organisational effectiveness. I do not guarantee any particular outcomes, results, or improvements. Results depend on numerous factors including participant engagement, organisational context, and implementation of learning beyond our sessions together.

8. Limitation of liability

To the fullest extent permitted by applicable law, I shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business opportunities, or reputation — arising from or related to the Services, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages.

My total liability under these Terms shall not exceed the total fees paid by you for the specific Services giving rise to the claim.

9. Indemnity

You agree to indemnify and hold harmless Heidi M. Higginbottom Consulting from any claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any applicable law or third-party rights.

10. Force majeure

Neither party will be held liable for any failure or delay in performance due to causes beyond their reasonable control, including but not limited to illness, acts of God, war, terrorism, strikes, pandemics, natural disasters, government actions, or technical failures affecting the provision of virtual services.

11. Privacy and data protection

I am committed to handling your personal data with care and in accordance with applicable data protection law. Please review my Privacy Policy for full details of how I collect, use, and protect your data. By booking or engaging my services, you acknowledge that you have read the Privacy Policy.

12. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law principles.

In the event of any dispute arising from these Terms or the Services, the parties agree first to attempt resolution through good faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit to mediation before pursuing litigation. Any legal action must be brought in the courts of Whatcom County, Washington, USA.

13. Amendments

I may update these Terms from time to time. Any changes will be published on this page with an updated effective date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms. For bespoke engagements governed by a separate project agreement, amendments to these Terms do not affect that agreement without mutual written consent.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
